Explanation of responses
- F1A total of 5,000 shares were purchased on November 18, 2016 by Andax LLC., for which Mr. Goren is the manager. After this purchase, a total of 27,303 shares are held by Andax, LLC. The amount of shares beneficially owned also include 67,927 shares of common stock that Mr. Goren has the right to acquire upon exercise of outstanding options within 60 days of November 18, 2016, and 24,524 shares of common stock owned of record by SG Phoenix LLC, an entity in which Mr. Goren shares voting and dispositive power. Also includes 1,091,775 shares of common stock beneficially owned by Phoenix Venture Fund, LLC, for which Mr. Goren is the co-managers of the managing member.
