- F1This sale was made pursuant to regulatory considerations. The sale was matchable under Section 16(b) of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), with the Reporting Person's purchase on June 27, 2016 of (a) 13,700 shares of Common Stock at a price of $16.8976 per share, and (b) 19,500 shares of Common Stock at a price of $16.9091 per share. The Reporting Person has agreed to pay to Issuer, upon settlement of the sale, $59,223.67, representing the full amount of the profit realized in connection with the short-swing transaction, less transaction costs.
