- F1This restricted stock unit award vests as to 3,000 units on January 1, 2017 and the remaining 6,000 units in 12 equal monthly installments beginning on January 31, 2017, subject to the terms of the restricted stock unit agreement. Each restricted stock unit represents the contingent right to receive one share of common stock of the Issuer.
- F2Mr. Urban is a director of the Issuer. Pursuant to an agreement with VILLco Capital II, L.L.C. ("VILLco"), all securities and other benefits to which Mr. Urban becomes entitled by virtue of his service as a director are received by Mr. Urban for the benefit of VILLco.
