Explanation of responses
- F1The shares of common stock were issued to the Reporting Person, a non-employee director of the Issuer, as partial payment for the quarterly retainer fee for his service as director of Issuer under an amended director compensation policy, which reduced the cash compensation payable to the Issuer's non-employee directors and in lieu of such cash compensation, resolved to grant shares of the Issuer's common stock.
