Explanation of responses
- F1On February 27, 2015, the Reporting Person was granted 1,450 (target) performance-based restricted stock units ("PBRSUs") pursuant to the Issuer's 2014 Long-Term Incentive Plan. The PBRSUs were subject to both performance-based and time-based vesting conditions. On February 27, 2018, the time-based condition was met and the performance condition was certified at 128.57% of the target award, vesting the PBRSUs and converting the PBRSU into the number of shares indicated on this Form 4.
- F2Represents shares that were forfeited to pay withholding taxes upon the vesting of restricted stock units that were previously granted by the Issuer.
