Explanation of responses
- F1On December 18, 2017, a portion of shares held indirectly by the Reporting Person in a Rabbi Trust were transferred to the Reporting Person's direct ownership. The shares held in the Rabbi Trust were restricted stock units that were originally granted in 2012 and vested in 2016. At the time of vesting, the Reporting Person was required by the Issuer to defer the receipt of all the shares held in the Rabbi Trust pursuant to an existing deferral agreement.
