Explanation of responses
- F1On March 3, 2015, 64,981 shares that were acquired by the reporting person pursuant to the award of 80,600 restricted stock shares on May 16, 2012, which were subject to performance criteria set forth by the Company's Board of Directors, vested and were paid to the reporting person. 21,261 of these 64,981 shares were withheld to pay the resulting tax liability.
- F2The number of securities beneficially owned has been reduced to reflect the settlement of the May 16, 2012 restricted stock grant noted in Footnote 1. 15,619 of the 80,600 restricted stock shares did not vest pursuant to the performance criteria and were removed from the reporting person's number of beneficially owned securities.
