- F1The reported securities are held by Sonic Financial Corporation ("SFC"), a North Carolina corporation of which Mr. Smith is a stockholder, officer and director, and OBS Holdings, LLC ("Holdings") of which Mr. Smith is a member and manager. The reported transaction reflects the transfer of shares of SFC and units of Holdings by Mr. Smith to certain of his lineal descendants in connection with estate and business planning, and therefore, constitutes a proportionate transfer of his pecuniary interest in shares of Speedway Motorsports, Inc. ("SMI") common stock held by SFC and Holdings. Mr. Smith disclaims beneficial ownership of the SMI common stock held by SFC and Holdings, except to the extent of his pecuniary interest therein.
