Explanation of responses
- F1The Option to purchase 125,000 shares of Common Stock of VolitionRx Limited (the "Issuer"), was granted to Dr. Micallef on April 15, 2016 under the Issuer's 2015 Stock Incentive Plan. The Option was then transferred by Dr. Micallef to Borlaug Limited, a consulting firm, on April 20, 2016. Dr. Micallef is a controlling director of Borlaug Limited and has voting and dispositive control over the Common Stock issuable to Borlaug Limited upon the exercise of the Option. Dr. Micallef disclaims beneficial ownership of the Common Stock issuance upon exercise of the Option, except to the extent of his pecuniary interest therien.
