- F1All of the issuer's Class A Common Stock was canceled in connection with a merger of the issuer into a wholly owned subsidiary of the reporting person on December 15, 2016. Pursuant to the terms of the merger agreement, each outstanding share of the issuer's Class A Common Stock (other than shares owned by the reporting person) was converted into the right to receive, at the election of the holder thereof, $20.00 in cash, without interest, or 5.4 shares of the reporting person's Class A Common Stock.
