Explanation of responses
- F1These shares were issued in accordance with the Issuer's outside directors' compensation program based on $47.30 per share which was the last reported sale price of the Issuer's Class A common stock on August 31, 2016, the last trading day of the Issuer's fiscal quarter. The shares are not transferable until August 31, 2019, subject to specified exceptions.
- F2The limited partnership interest was sold for estate planning purposes to a trust in exchange for a note. The beneficiaries of the trust are the reporting person's daughters. The shares were sold at an approximate 25% discount to the market price of the shares.
