Explanation of responses
- F1Grant of Stock Units in a transaction exempt under Rule 16b-3(d). The Stock Units were awarded to the Reporting Person in connection with his service as chair of the Board's CEO Search Committee. The Stock Units will vest on the first anniversary of the grant date if the Reporting Person is then serving (or is deemed to be serving under the Grant Agreement) as a non-employee director. Upon vesting of the Stock Units, distribution of the underlying shares of Company stock will be deferred until the time the Reporting Person ceases to be a non-employee director.
