- F1Exercise of a Stock Option (Right to Buy) granted to the Reporting Person on February 22, 2010 under the Issuer's 2006 Long-Term Incentive Plan, as amended (the "2010 Grant"), in a transaction exempt under Rule 16b-3 of the Securities Exchange Act of 1934, as amended (the "Act"). The exercise of the 2010 Grant was effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person in accordance with Rule 10b5-1 of the Act.
