- F1Shares acquired are shares of restricted stock automatically awarded on January 2, 2015 pursuant to the ModusLink Global Solutions, Inc. Third Amended and Restated Director Compensation Plan. Except as otherwise provided in the plan, the shares of restricted stock vest on the first anniversary of the date of grant, provided that the reporting person remains a director of ModusLink Global Solutions, Inc. on such vesting date.
- F2The reporting person is a member of a Section 13(d) group that owns more than 10% of the Issuer's outstanding Common Stock. The Reporting Person disclaims beneficial ownership of the shares of Common Stock of the Issuer owned directly by the other members of the Section 13(d) group except to the extent of his pecuniary interest therein.
