Explanation of responses
- F1On March 19, 2015, the reporting person was granted a performance-based non-statutory stock option to purchase 10,000 shares of common stock. The option vests in 3 equal annual installments based on the Company's achievement of certain "synergy realization" and EBITDA performance criteria for each of the fiscal years ending April 30, 2016, 2017, and 2018. The "synergy realization" performance criteria for the year ending April 30, 2017 was met, resulting in vesting of the option as to 3,334 shares.
