- F1Pursuant to stockholder approved 1993 Stock Award and Incentive Plan, and an election made by Ms. Lowe, Ms. Lowe received a deferred stock award of 253.893 shares in lieu of her $18,750 quarterly retainer fee. Deferred stock awards are paid for no additioanl consideration in the form of an equivalent number of shares of common stock following termination of service as a director.
