Explanation of responses
- F1Pursuant to stockholder approved 1993 Stock Award and Incentive Plan, and an election made by Mr. Sharpe, Mr. Sharpe received a deferred stock award of 309.764 shares in lieu of his $18,750 quarterly retainer fee.
