Ontario Teachers' Pension Plan Board remains a beneficial owner of these 27,682 shares of Common Stock. The transfer is exempt from Section 16 of the Securities Exchange Act of 1934 (the "Exchange Act") pursuant to Exchange Act Rule 16a-13.
