Explanation of responses
- F1Pursuant to a reclassification exempt under Rule 16b-7, the Issuer's previously existing Common Stock ($0.01 par value per share) was reclassified into Class A Common Stock ($0.01 par value per share), immediately and automatically, at a ratio of one (1) share of Class A Common Stock for every twenty-five (25) shares of previously existing Common Stock.
- F2Represents compensation paid for service on Board of Directors. These shares were granted in May 2016, subject to vesting upon certain events, which vesting requirements were satisfied on June 1, 2017 upon the consummation of certain transactions by the Issuer.
- F3On June 1, 2017, the Issuer declared a stock dividend, payable to all holders of record of Class A Common Stock on June 2, 2017, of one share of Class B Common Stock for each share of Class A Common Stock outstanding. The Class B Common Stock is convertible into shares of Class A Common Stock on a one-for-one basis.
