Explanation of responses
- F1Pursuant to a Severance Agreement dated June 15, 2016, the Company repurchased 27,209 shares awarded under the Issuer's 2004 Incentive Stock Plan for a $1.00 per share purchase price. Additionally, 64,161 shares awarded to the Reporting Person under the Issuer's 2015 Incentive Stock Plan were forfeited. Pursuant to the Severance Agreement, 48,630 shares became fully vested and are no longer are subject to any restrictions.
