Explanation of responses
- F1Pursuant to a Severance Agreement dated June 15, 2016, the Company repurchased 11,785 shares awarded under the Issuer's 2004 Incentive Stock Plan for a $1.00 per share purchase price. Additionally, 24,252 shares awarded to the Reporting Person under the Issuer's 2015 Incentive Stock Plan were forfeited. Pursuant to the Severance Agreement, 28,963 shares became fully vested and are no longer subject to any restrictions.
