Explanation of responses
- F1These options were granted as non-qualified stock options pursuant to the Issuer's 2015 Stock Incentive Plan.
- F2The options will vest as to 100% of the underlying shares upon a determination by the Compensation Committee that the Issuer has achieved a pre-established "Pre-Tax Income" target for the fiscal year ending March 31, 2019. If the Compensation Committee determines that the target has not been met, no vesting will occur and all of the options will expire immediately without any further action by the Issuer or the Reporting Person.
