Explanation of responses
- F1Represents (i) 2,730 restricted shares granted under the Plan, which vest over three years beginning April 25, 2018; and (ii) 5,458 performance shares granted under the Plan, which vest up to 100% if certain performance goals are met on the last day of fiscal 2020 (and the Reporting Person may be entitled to additional performance shares if the Company exceeds the performance goals).
Remarks
The Reporting Person is amending his Form 4 filed on April 27, 2017 to correct the number of performance shares granted. References to the "Plan" in the footnote mean the Company's 2015 Long-Term Incentive Compensation Plan and any predecessors to such Plan.
