Explanation of responses
- F1The disposition of shares occurred pursuant to the Exchange Agreement, dated December 13, 2018, between the Issuer and Banc of America Preferred Funding Corporation ("BAPFC") pursuant to which BAPFC exchanged 1,820 existing Variable Rate MuniFund Term Preferred Shares, Series 2019 ("VMTP Shares") of the Issuer for an equal number of newly issued Adjustable Rate MuniFund Term Preferred Shares, Series 2028 ("AMTP Shares") of the Issuer in a cashless exchange.
- F2This statement is jointly filed by Bank of America Corporation ("BAC") and BAPFC. BAC holds an indirect interest in the securities listed in Table I (the "Securities") by virtue of its 100% ownership of its subsidiary BAPFC.
