- F1The disposition of shares occurred pursuant to an Purchase and Exchange Agreement among the Issuer and Banc of America Preferred Funding Corporation ("PFC") pursuant to which PFC exchanged 1,670 existing Variable Rate MuniFund Term Preferred Shares of NMY for an equal number of newly issued Variable Rate MuniFund Term Preferred Shares, Series 2019, of NMY, and purchased 300 newly issued Variable Rate MuniFund Term Preferred Shares, Series 2019, of NMY, for a purchase price of $100,000 per share.
