Explanation of responses
- F1Represents the minimum number of shares of common stock that have become issuable under PSU grants awarded to the reporting person in March 2013. The performance period for the PSUs is January 1, 2013 through December 31, 2015. Because the Issuer's 2-year cumulative EPS performance through December 31, 2014 is determined to have exceeded a pre-determined threshold, upon vesting the reporting person is eligible to receive, at a minimum, the number of shares reported in the table, which amount equals 50% of the target number of shares underlying the PSU. Vesting of the award is generally subject to continued employment through the vesting date in 2016. The terms of the PSUs are more fully described in the Issuer's Form 8-K dated March 26, 2013.
