Explanation of responses
- F1Represents restricted stock units (RSUs) granted to the Reporting Person. Each RSU represents a contingent right to receive one share of the issuers common stock. The RSUs vest ratably over a period of approximately three years with respect to approximately 1/12 of the total number of RSUs on each on May 17, August 17, November 17 and March 17 of each year, provided that the Reporting Person has continued to provide services to the Company during such period. The RSUs vest earlier in connection with a Change in Control of the Company (as defined in the Plan and the applicable award agreement) or upon the death or disability of the Reporting Person, and the shares covered by the RSU would be issued following vesting as provided in the Plan and award agreement. The RSUs are granted pursuant to the 2009 Equity Incentive Plan and are subject to other provisions in the applicable award agreement.
