Explanation of responses
- F1The Form 4 filed on February 26, 2014 reported that 28,926 shares were withheld for taxes. This amended filing is being made to correct the number of shares that were withheld for taxes, which was understated by 2,423, and to correct the number of shares beneficially owned following the reported transactions. As a result of this understatement, all of the reporting person's direct Common Stock holdings that were reported on Forms 4 between February 26, 2014 and the date of this report were overstated by 2,423 shares.
