Friedman (the "Reporting Person") is the managing member of FJ Capital Management LLC, which is (i) the managing member of Financial Opportunity Fund LLC (formerly FJ Capital Long/Short Equity Fund LLC) ("Financial Fund"), which holds 48,500 of the shares of Issuer reported herein and (ii) the sub-investment advisor of Bridge Equities III, LLC ("Bridge"), which holds 802,966 of the shares of the Issuer (together with the shares held by Financial Fund, the "Shares").
F3Because of the Reporting Person's relationship to Financial Fund and Bridge, the Reporting Person may be deemed to beneficially own the Shares to the extent of the greater of his direct or indirect pecuniary interest in the profits or capital accounts of each of Financial Fund and Bridge. Pursuant to Rule 16a-1(a)(4) under the Securities Exchange Act of 1934, as amended (the "Exchange Act"), this filing shall not be deemed an admission that the Reporting Person is, for purposes of Section 16 of the Exchange Act or otherwise, the beneficial owner of any Shares beneficially owned in excess of his pecuniary interest.
