- F1The Reporting Person was issued the shares in consideration for certain agreements made by the Reporting Person in that certain Settlement and Restructuring Agreement dated as of July 19, 2018, by and among the Issuer, the Issuer's wholly-owned subsidiary, Peachstate Health Management, LLC, the Reporting Person and the other former members of Peachstate Health Management, LLC, in accordance with the terms and conditions of such agreement.
