Explanation of responses
- F1Represents shares withheld by the Company to satisfy tax withholding obligations in connection with the vesting of 2,295 deferred stock units granted to the reporting person on April 4, 2016.
- F2On April 4, 2016, the reporting person was granted performance units, representing the right to receive up to two shares of common stock for each performance unit granted, subject to meeting an adjusted earnings per share performance target for fiscal 2017. Based upon the Company's adjusted earnings per share delivered for fiscal 2017, a multiplier of 131% was applied to the target resulting in the right to receive the number of shares reported in the table. These performance units vest 50% on each of April 4, 2018 and 2019.
