Explanation of responses
- F1Represents an award of restricted stock to the reporting person under the USA Truck, Inc. 2014 Omnibus Incentive Plan. Of the reported shares, (i) 6,500 shares are subject to time-based vesting in equal increments on the first through third anniversaries of the grant date, subject to continued service on the board of directors and certain other forfeiture provisions, and (ii) 4,360 shares represent an annual award of restricted stock as part of the non-employee director package and will vest on the date of the Company's 2017 Annual Meeting, subject to certain acceleration and forfeiture provisions.
