Explanation of responses
- F1Represents an award of restricted stock to the reporting person under the USA Truck, Inc. 2014 Omnibus Incentive Plan. Of the reported shares, (i) 21,802 shares are subject to time-based vesting, 25% of which will vest on June 30, 2016, and the remaining 75% of which will vest in equal increments on the first through third anniversaries of the grant date, (ii) 12,152 shares are subject to performance vesting targets with a performance period from January 1, 2016, through December 31, 2016, with any such shares whereby the performance targets were satisfied vesting in equal annual installments through January 31, 2020, (iii) 45,568 shares are subject to performance vesting targets, with a performance period from January 1, 2016, through December 31, 2018, and (iv) 18,169 shares are subject to a performance vesting target, with a performance period of the twenty trading days immediately preceding the third anniversary of the grant date.
