Explanation of responses
- F1Shares withheld to satisfy the reporting person's tax liability applicable to the vesting of restricted stock on February 27, 2015 relating to the reporting person's performance-based component of his long-term incentive award.
- F2Overachievement performance awards granted in the form of restricted stock units, or RSUs, under the Premiere Global Services, Inc.'s Amended and Restated 2004 Long-Term Incentive Plan, as amended. The RSUs could be earned based upon the achievement of a specified SaaS revenue target for 2014. One-half of the earned RSUs convert to shares of fully-vested stock on a one-for-one basis on the date of the first payroll following our fourth quarter and year-end earnings release for 2014 (the "Conversion Date"), and one-half of the earned RSUs convert to shares of restricted stock on the Conversion Date, which restricted shares vest on March 31, 2016.
