Explanation of responses
- F1Represents delivery of shares to Potomac Venture Group LLC an entity controlled by the Reporting Person pursuant to a common Stock Subscription Agreement dated May 1, 2018 in satisfaction of a non-interest bearing loan made by the Reporting Person to the Issuer for $60,000.
- F2By Reporting Person as owner of Potomac Venture Group LLC.
- F3The options granted to Mr. Barcklow vest immediately as to 1,800,000 shares and 200,000 shares per month thereafter through February of 2020. This vesting schedule was calculated monthly based on a start date of March 2018 when he became a director of the company. Additionally, with respect to 2,500,000 shares, the company must achieve certain milestones in the 20-day moving average share price of its common stock for the options to be exercisable. These options will be exercisable in the amount of 1,500,000 shares upon the 20-day moving average share price reaching $0.15 per share, 1,000,000 shares at $0.25 per share and 500,000 shares at $0.50 per share. Mr. Barcklow does not receive a salary for his services.
