Explanation of responses
- F1Represents deferred stock units acquired by Reporting Person as an Initial Director Grant upon her appointment to Issuer's Board of Directors. These deferred stock units were issued pursuant to the Issuer's 2008 Stock Option and Incentive Plan and the Fiscal Year 2018 Non-Employee Director Compensation Plan and are payable on a one for one basis exclusively in common stock when Reporting Person ceases to be a member of the Issuer's Board of Directors or upon a change in control of the Issuer. The deferred stock units will vest in 60 equal monthly installments commencing May 1, 2018.
