Explanation of responses
- F1On April 1, 2016, Reporting Person was granted 7,978 restricted stock units for services provided as a director applicable to the 2016 fiscal year. The restricted stock units vest on December 1, 2016, subject to the Reporting Person's continued service on the Progress Software Corporation Board of Directors on such vesting date. Reporting Person retired as a Director of the Progress Software Corporation Board of Directors effective August 24, 2016 and these restricted stock units were cancelled.
Remarks
The Reporting Person retired as a Director of the Progress Software Corporation Board of Directors effective August 24, 2016. As a result, the Reporting Person is no longer subject to Section 16 in connection with his transactions in the equity securities of Issuer and therefore will no longer report any such transactions on Form 4 or Form 5.
