Explanation of responses
- F1Performance restricted stock units were granted on March 28, 2016 under the 2007 Stock Plan. Performance conditions relating to Tranche 1 of such performance restricted stock units were determined satisfied on February 13, 2017 and Tranche 1 of the performance restricted stock units vested on February 13, 2017. For each restricted stock unit that vested, one share of Common Stock was automatically delivered to the reporting person .
- F2The disposition of directly held shares reported on this form solely represents shares surrendered back to the company as payment of taxes on the vesting of peformance-based restricted stock units.
