Explanation of responses
- F1Each Restricted Stock Unit represents a continent right to receive one share of PetroQuest common stock.
- F2The number of shares acquired and the number of shares beneficially owned following the transaction have been adjusted to reflect the one for four reverse split of the common stock effective May 18, 2016 (the "Reverse Split"). Also includes 2,520 and 6,574 post Reverse Split shares acquired under PetroQuest's employee stock purchase plan on January 31, 2016 and July 31, 2016, respectively.
- F3On November 12, 2014 the reporting person was granted 23,996 post Reverse Split Restricted Stock Units. One third of the Restricted Stock Units vest on each of the first, second and third anniversaries of the grant date. The applicable number of shares of PetroQuest common stock will be delivered to the reporting person on each such vesting date.
