Explanation of responses
- F1This transaction was reported in the original filing and is the same, but for the total amount of shares beneficially owned after the transaction.
- F2The Summation error includes shares that were distributed by the company at the reporting person's request and reported as compensation but not previously reported on Form 4 because no certificate was issued. This was an error by the submitter and not the reporting person. As well, there were additional shares (4,600) discovered during a share audit that had been purchased on the open market that had not been previously reported.
Remarks
The summation error herein was originally discovered in a share audit conducted during preparation of the Company's 2014 10-K filing, and though properly reported therein, was not updated as to the reporting person Forms 4 or 5, resulting in the need for correction by this filing.
