Explanation of responses
- F1The number of shares withheld by the issuer upon the vesting of a restricted stock award to satisfy the reporting person's tax withholding obligations was overstated in the reporting person's Form 4 filed on February 14, 2017 ("Original Form 4") by 36 shares. As a result, the amount of securities beneficially owned following the reported transactions reported in Column 5 was understated by 36 shares in the Original Form 4 and in subsequent Forms 4 filed by the reporting person. This amendment is being filed to report correctly the number of shares withheld and the total number of shares beneficially owned following the transactions reported in the Original Form 4.
