Explanation of responses
- F1Pursuant to the Agreement and Plan of Merger, dated as of February 13, 2018, by and among Kemper Corporation ("Kemper"), a wholly owned subsidiary of Kemper and Infinity Property and Casualty Corporation ("Infinity"), under which Kemper acquired Infinity on July 2, 2018, the Reporting Person became entitled to receive these shares as the result of the conversion, at her election, of each of 8,847 shares of Infinity common stock that she held into the right to receive 1.2332 shares of Kemper Common Stock and $49.58 in cash.
