Explanation of responses
- F1The options will vest and become exercisable on the earlier of (a) June 4, 2016, and (b) the date of the first annual meeting of stockholders of the Company after the date on which the option was granted, provided the Reporting Person continues to serve as a director of the Company on such date. The options will become 100% vested and immediately exercisable in the event of the termination of the service of the Reporting Person by reason of disability, death, or voluntary retirement from the Company under acceptable circumstances as determined by the Board in its sole discretion.
