- F1This option to purchase shares of common stock vests as follows: one-third of the total number of shares subject to the option shall vest on each of the first three anniversaries of the grant date. Any acceleration of the vesting of the initial grant of stock options to the Reporting Person by reason of any change of control of the Company during that period commencing on the effective date of appointment and ending six months thereafter will be prorated based on the period of the Reporting Person's service as a member of the Board prior to the date of acceleration.
