With the purchase of these shares, NextCoal International owns 1,650,000 of the Issuer's Common shares, which represents approximately 65.6% of the Issuer's issued and outstanding shares. Jonathan Braun, the Reporting Person, and Director of the Issuer, is the President of NextCoal International, Inc., and he has the ultimate voting control over the share held by NextCoal International, Inc.
