Explanation of responses
- F1Transfer in satisfaction of the annuity obligation pursuant to the terms of the Bettye J. Bailey GRAT A-2015 u/a/d March 27, 2015 (the "GRAT"). As a result of this transfer, the GRAT no longer owns any shares of the issuer.
- F2Includes 10,000 shares previously owned jointly with her spouse, Mr. Bailey. Mr. Bailey is deceased and the shares are now owned solely by Mrs. Bailey.
- F3Mrs. Bailey previously reported indirect beneficial ownership of 1,399,617 shares that were owned by Mr. Bailey and 245,000 shares that were owned by a family trust over which Mr. Bailey held power of substitution. Mr. Bailey is deceased and the shares are now owned by his estate and the family trust, respectively. Mrs. Bailey currently has no beneficial ownership interest in these shares and therefore the shares have been removed from Mrs. Bailey's Form 4.
