- F1Mr. Jackson, by virtue of (i) his position as manager of Capital Point Advisors, LLC, a Delaware limited liability company, the investment adviser to and (ii) control of the general partners of each of CPP, and CPPII, may be deemed to beneficially own (i) 104,562,000 shares of our common stock held by CPP, and (ii) 10,922,327 shares of our common stock held by CPPII. Mr. Jackson disclaims beneficial ownership of any shares directly held by these entities, except to the extent of his pecuniary interest therein.
