- F1The shares were received pursuant to the company's Long-Term Stock Incentive Plan ("LTIP"), approved by the company's shareholders on June 12, 2008. Stocks awarded under this plan are accounted for in accordance with Financial Accounting Standards Board ("FASB") Accounting Standards Codification ("ASC"). The LTIP originally called for receipt by Mr. Jamieson of 109,252 shares, however that excess of 36,478 shares has been cancelled to effect the withholding for taxes being paid by Issuer for the benefit of Shareholder.
