Explanation of responses
- F1Reporting person, Delta Partners, LP made a bona fide gift for no consideration of 208,333 shares of Common Stock of the Issuer to the Jobson Family Foundation, an entity which is controlled by Reporting Person Charles Jobson.
- F2In connection with the distribution described in Footnote (1) above, the Jobson Family Foundation acquired ownership of the 208,333 shares of Common Stock described in Footnote (1) above. This transfer did not alter the total number of shares of Common Stock of the Issuer held, in the aggregate, but the Reporting Persons, each of Delta Partners, LP, Delta Advisors, LLC, Delta Partners GP, LLC, Prism Partners, L.P., and Charles Jobson as well as the Jobson Family Foundation disclaim Section 16 beneficial ownership except to the extent, if any, of their pecuniary interest.
