Explanation of responses
- F1Represents an award of performance based restricted stock units granted under the Issuer's 2006 Equity Incentive Plan. Each restricted stock unit represents the right to receive one share of the Issuer's common stock, par value $0.001 per share. These restricted stock units vest in four equal annual installments on February 25, 2015, September 24, 2015, September 24, 2016, and September 24, 2017, subject to the terms and conditions set forth in the applicable restricted stock unit award agreement.
- F2Reflects the number of shares of common stock withheld by the Issuer to pay the tax liability of the Reporting Person in connection with the settlement of vested restricted stock units previously granted to the Reporting Person.
- F3Represents the transfer of shares to a trust (the "Trust") of which the Reporting Person is trustee.
